Terms of Service

Please read these Terms and Conditions carefully before using ReplyWorth. By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ReplyWorth (“ReplyWorth,” “we,” “us,” or “our”), governing your access to and use of the ReplyWorth software-as-a-service platform, website, and all related features, tools, and services (collectively, the “Service”).

By clicking “I agree,” creating an account, connecting a Google Business Profile, initiating a subscription, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies incorporated herein by reference.

If you are using the Service on behalf of a business or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” shall refer to both you individually and that entity.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age;
  • Have the legal authority to enter into a binding contract;
  • Not be barred from using the Service under any applicable law;
  • Use the Service only for lawful business purposes; and
  • Have and maintain a valid Google account and Google Business Profile listing (or obtain authorization from the GBP account holder).

The Service is intended for business owners, managers, and authorized representatives of businesses with a Google Business Profile presence. It is not intended for personal, household, or consumer use.

3. Description of Service

ReplyWorth is a subscription-based software platform that uses artificial intelligence to generate suggested and, where configured, automatically posted replies to customer reviews on Google Business Profile (GBP) listings. The Service also provides ancillary features including local search ranking tracking, revenue logging, GBP performance insights, automated notifications, and related analytics tools (collectively, “Features”).

We reserve the right to add, modify, suspend, or discontinue any Feature at any time, with or without notice, as described in Section 21. Certain Features are designated “Coming Soon” or are otherwise unavailable and are not included in the current Service offering regardless of how they are displayed in the interface.

4. Account Registration and Security

Account Creation

To access the Service, you must register for an account by providing accurate, current, and complete information. You agree to update your account information promptly to keep it accurate. You may not impersonate any person or entity or use a false identity when registering.

Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

  • Use a strong, unique password for your ReplyWorth account;
  • Notify us immediately at hello@replyworth.com if you suspect unauthorized access to your account;
  • Log out of your account at the end of each session on shared devices; and
  • Not share your login credentials with any third party.

ReplyWorth is not liable for any loss or damage arising from your failure to protect your account credentials. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

One Account Per User

Each account is for use by a single authorized user or business entity. You may not create multiple accounts to circumvent subscription limitations, pricing, or suspension of a prior account.

5. Subscriptions, Billing, and Payment

Subscription Plans

Access to the Service requires a paid subscription. Current plan details, including pricing and included features, are described at replyworth.com and within the app. All prices are in U.S. dollars unless otherwise stated.

Billing Cycle and Auto-Renewal

Subscriptions are billed on a monthly recurring basis beginning on the date you subscribe. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize ReplyWorth (through our payment processor, Stripe, Inc.) to charge your payment method on file at the start of each billing period.

Founding Member Rate

Users who subscribe during the founding member promotional period receive a discounted rate of $29 per month (“Founding Member Rate”), which is locked for the life of your continuous subscription. The Founding Member Rate is personal to the subscribing account and is non-transferable. Cancellation of your subscription at any time permanently forfeits the Founding Member Rate. If you cancel and later resubscribe, you will be billed at the then-current standard rate, which may be higher. No exceptions will be made to this policy.

Payment Method

You must provide a valid credit card or other payment method accepted by Stripe. You represent and warrant that you are authorized to use the payment method you provide. If your payment method fails or your account is past due, we may suspend access to the Service until payment is received. Repeated failed payments may result in account termination.

Price Changes

We reserve the right to change our subscription prices. We will provide at least 30 days’ notice of any price change by email to your registered address. If you do not cancel before the price change takes effect, your continued use of the Service constitutes acceptance of the new price. Price changes do not affect users on a locked Founding Member Rate so long as their subscription remains continuous.

Taxes

You are responsible for any applicable sales tax, VAT, GST, or other taxes or levies arising from your subscription. Where required by law, ReplyWorth will collect and remit applicable taxes.

6. Cancellation Policy

How to Cancel

You may cancel your subscription at any time through Settings → Billing → Manage Billing within the app, or by contacting us at hello@replyworth.com. Cancellation takes effect at the end of your current billing period.

Access After Cancellation

Upon cancellation, you will retain access to the Service through the end of your paid billing period. After that date, your account will be downgraded and access to paid features will be revoked. Your account data will be retained for 90 days following cancellation, after which it will be permanently deleted in accordance with our Privacy Policy.

No Refunds for Partial Months

All subscription fees are non-refundable. We do not issue prorated refunds for partial billing periods, unused features, or early cancellations. This includes cancellations made mid-period. Your access continues through the end of the paid period regardless of when you cancel.

Founding Member Rate Forfeiture

As stated in Section 5, cancellation permanently forfeits the Founding Member Rate. This applies regardless of the reason for cancellation and regardless of how quickly you resubscribe. No exceptions.

7. Free Trials and Promotional Offers

ReplyWorth may offer free trials or promotional pricing at our discretion. Unless we state otherwise: (a) free trials are available to new users only; (b) you may be required to provide payment information to begin a trial; and (c) unless you cancel before the trial period ends, your payment method will be charged the applicable subscription rate at the end of the trial. We reserve the right to modify or discontinue any trial or promotion at any time.

8. Google Business Profile Integration and OAuth Authorization

Your Authorization

To use core Service features, you must authorize ReplyWorth to access your Google Business Profile via Google’s OAuth 2.0 protocol. By connecting your GBP account, you grant ReplyWorth a limited, revocable authorization to access your GBP data, retrieve customer reviews, and — subject to your settings — post replies to those reviews on your behalf.

Scope of Access

ReplyWorth requests only the minimum permissions necessary to operate the Service. We do not access your Gmail, Google Drive, Google Ads, or any Google service other than Google Business Profile. See our Privacy Policy for details on how GBP data is handled.

Your Responsibility for Google Compliance

Your use of the Service in connection with Google Business Profile is subject to Google’s Terms of Service, Google Business Profile policies, and any other applicable Google policies. You are solely responsible for ensuring that your use of ReplyWorth — including all replies posted to your GBP — complies with Google’s policies. ReplyWorth is not affiliated with, endorsed by, or in any way officially connected to Google LLC.

Revoking Access

You may revoke ReplyWorth’s GBP access at any time through your Google Account settings at myaccount.google.com/permissions or within the ReplyWorth Settings page. Revoking access will disable review fetching and reply posting features. Subscription billing continues regardless of whether your GBP is connected.

Google Account Responsibility

You are responsible for maintaining a valid, active Google account and GBP listing. ReplyWorth is not liable for any disruption to the Service caused by changes to your Google account, GBP suspension, Google API changes, or actions taken by Google that affect your listing.

9. AI-Generated Content — Critical Limitations

Nature of AI Output

The Service uses artificial intelligence (specifically, the Anthropic Claude API) to generate suggested reply text based on review content and your configured preferences. AI-generated content is probabilistic in nature. It may be inaccurate, inappropriate, incomplete, off-brand, or inconsistent. It may not reflect your intended meaning or satisfy any particular standard of quality.

Your Sole Responsibility for All Posted Replies

You are solely and entirely responsible for every reply posted to your Google Business Profile, whether posted manually through the ReplyWorth interface, approved by you before posting, or posted automatically through the auto-reply feature. ReplyWorth does not review replies for accuracy, legality, compliance with Google’s policies, or appropriateness before they are posted. By approving a reply or enabling auto-reply, you accept full responsibility for its content and any consequences of its publication.

Auto-Reply Feature

The auto-reply feature, when enabled, allows the Service to post AI-generated replies to Google reviews without your prior review of each individual reply. By enabling auto-reply, you expressly acknowledge and accept that: (a) replies will be posted automatically without your pre-approval; (b) AI-generated content may contain errors; (c) you bear full responsibility for all auto-posted content; and (d) you have configured the feature with appropriate star-rating rules and safeguards to meet your business needs. We strongly recommend reviewing all auto-reply settings carefully before enabling this feature.

No Warranty on AI Content

ReplyWorth makes no representation or warranty of any kind regarding the accuracy, quality, completeness, legality, reliability, or appropriateness of AI-generated content. AI-generated replies: (a) may contain factual errors; (b) may not reflect your business’s actual policies or practices; (c) may violate Google’s review response policies if not properly reviewed; (d) may be considered defamatory, misleading, or otherwise harmful if inaccurate; and (e) may affect your business’s reputation positively or negatively.

No Guarantee of Rankings or Business Outcomes

ReplyWorth does not guarantee any improvement in local search rankings, review ratings, customer acquisition, revenue, or any other business outcome. Rank tracking and insights data are provided for informational purposes only. Any correlation between using the Service and improved rankings is not guaranteed and will vary based on many factors outside our control.

10. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with these Terms. You may not use the Service to:

  • Violate any applicable local, state, national, or international law or regulation;
  • Post or approve replies that are false, defamatory, harassing, threatening, obscene, or otherwise objectionable;
  • Post replies that infringe on any third party’s intellectual property, privacy, or other rights;
  • Manipulate, fabricate, or incentivize reviews in violation of Google’s policies or the FTC’s guidelines on endorsements and testimonials;
  • Use the Service to generate or post content on behalf of businesses you are not authorized to represent;
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or related systems;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
  • Scrape, crawl, or extract data from the Service using automated means without our prior written consent;
  • Use the Service to build a competing product or service;
  • Introduce viruses, malware, or other harmful code into the Service;
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure;
  • Circumvent, disable, or otherwise interfere with security-related features of the Service;
  • Use the Service in any manner that could impose an unreasonable load on our infrastructure; or
  • Impersonate any person or entity in connection with the Service.

We reserve the right to investigate violations of this policy and to suspend or terminate accounts, report violations to law enforcement, and take any other action we deem appropriate.

11. User Content and License

Your Content

“User Content” means any information, data, text, or materials you submit to the Service, including but not limited to: business profile information, services descriptions, voice and tone preferences, custom phrases, revenue data, and any other content you enter or upload.

License to ReplyWorth

By submitting User Content to the Service, you grant ReplyWorth a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, process, reproduce, and transmit your User Content solely to the extent necessary to provide the Service to you. This license terminates when you delete your account or specific content, subject to backup and retention periods described in our Privacy Policy.

Your Representations

You represent and warrant that: (a) you own or have the right to submit all User Content; (b) your User Content does not infringe any third party’s intellectual property rights; and (c) your User Content does not violate any applicable law.

Review Data

Customer review text retrieved from Google is owned by the respective reviewers and governed by Google’s Terms of Service. ReplyWorth processes review data solely to provide the Service to you and does not claim ownership of any review content.

Feedback

If you submit feedback, suggestions, bug reports, or ideas regarding the Service (“Feedback”), you grant ReplyWorth an irrevocable, perpetual, royalty-free, worldwide license to use, incorporate, and commercialize that Feedback without any obligation or compensation to you. We are under no obligation to implement or act on any Feedback.

12. Intellectual Property

ReplyWorth’s IP

The Service and all of its components — including but not limited to software, source code, algorithms, user interfaces, design, graphics, text, branding, logos, trademarks, and documentation — are owned by or licensed to ReplyWorth and are protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws. All rights not expressly granted in these Terms are reserved by ReplyWorth.

Limited License to You

Subject to your compliance with these Terms and payment of applicable fees, ReplyWorth grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal business purposes. This license does not include any right to: (a) resell or commercially exploit the Service; (b) copy, reproduce, or distribute any part of the Service; (c) modify or create derivative works; or (d) use the Service on behalf of third parties for commercial gain without our prior written consent.

Trademarks

The “ReplyWorth” name, logo, and all related marks are trademarks of ReplyWorth. You may not use any ReplyWorth trademark without our prior written consent.

13. Third-Party Services and Links

The Service integrates with or relies upon third-party services including Google LLC, Anthropic PBC, Stripe Inc., Supabase Inc., Vercel Inc., Resend Inc., Cloudflare Inc., DataForSEO, and Zipcodebase. Your use of the Service is subject to the terms and privacy policies of these third parties. ReplyWorth is not responsible for the acts or omissions of any third-party service provider, and we do not warrant the continued availability, accuracy, or performance of any third-party service.

The Service may contain links to third-party websites. These links are provided for convenience only. We have no control over the content or practices of linked third-party sites and accept no responsibility for them.

14. Service Availability and Maintenance

ReplyWorth will use commercially reasonable efforts to make the Service available. However, we do not guarantee that the Service will be available at all times, uninterrupted, or error-free. The Service may be temporarily unavailable due to:

  • Scheduled maintenance, which we will endeavor to perform during off-peak hours;
  • Emergency maintenance or security patches;
  • Third-party service outages (Google API, Stripe, Supabase, Anthropic, Vercel, etc.);
  • Events beyond our reasonable control (see Section 23 — Force Majeure); or
  • Other technical failures or circumstances outside our control.

Downtime, outages, or delayed review responses resulting from any of the above do not entitle you to a refund, service credit, or compensation of any kind. Review response delays during Service outages are not our liability.

15. Revenue and Analytics Data

The revenue tracking feature in ReplyWorth is based on data you manually enter. ReplyWorth does not independently verify, audit, or confirm the accuracy of any revenue figures, job counts, or other financial data you input. All revenue data, ROI calculations, and performance metrics displayed in the Service are generated from your own inputs and are for your internal informational use only. They do not constitute financial advice, tax advice, or representations of any kind by ReplyWorth.

16. Privacy and Data

Your privacy is important to us. Our collection and use of personal information in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

17. Confidentiality

Each party may have access to information that is confidential to the other. You agree not to disclose any non-public information about the Service, its technology, pricing structures, or business operations that you learn through your use of the Service, except as required by law. ReplyWorth will treat your business data as confidential and will not share it except as described in our Privacy Policy.

18. DMCA and Copyright Policy

ReplyWorth respects intellectual property rights. If you believe that content available through the Service infringes your copyright, please send a written notice to hello@replyworth.com containing: (a) your electronic or physical signature; (b) identification of the copyrighted work you claim has been infringed; (c) identification of the material you claim is infringing; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement made under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

19. Termination

Termination by You

You may terminate your account at any time by cancelling your subscription and requesting account deletion through Settings → Security → Delete Account, or by contacting us at hello@replyworth.com. Termination does not entitle you to any refund for prepaid subscription fees.

Termination by ReplyWorth

We may suspend or terminate your account immediately, without prior notice or liability, if:

  • You materially breach these Terms and fail to cure the breach within 10 days of receiving notice;
  • You violate our Acceptable Use Policy;
  • You fail to pay any amount due;
  • We are required to do so by applicable law or court order;
  • We determine, in our reasonable discretion, that your continued use poses a legal, security, or reputational risk to ReplyWorth or other users; or
  • We elect to discontinue the Service (see Section 21).
Effect of Termination

Upon termination: (a) all rights granted to you under these Terms cease immediately; (b) you must cease all use of the Service; (c) we will delete your account data as described in our Privacy Policy; and (d) any outstanding payment obligations survive termination. Sections that by their nature should survive termination shall survive, including but not limited to Sections 9, 11, 12, 17, 20, 22, 24, 25, and 26.

20. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REPLYWORTH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (B) WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE; (C) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT, RANKING DATA, OR PERFORMANCE METRICS; AND (E) WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY PARTICULAR BUSINESS RESULT.

No advice or information, whether oral or written, obtained from ReplyWorth or through the Service shall create any warranty not expressly stated in these Terms.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REPLYWORTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS;
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE;
  • DAMAGES ARISING FROM AI-GENERATED CONTENT POSTED TO YOUR GOOGLE BUSINESS PROFILE;
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
  • DAMAGES ARISING FROM ACTIONS OR POLICIES OF GOOGLE, STRIPE, ANTHROPIC, OR ANY OTHER THIRD-PARTY SERVICE PROVIDER;
  • DAMAGES ARISING FROM SERVICE OUTAGES, MAINTENANCE, OR UNAVAILABILITY; OR
  • ANY OTHER MATTER RELATING TO THE SERVICE;

EVEN IF REPLYWORTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, REPLYWORTH’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU PAID TO REPLYWORTH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

22. Indemnification

You agree to defend, indemnify, and hold harmless ReplyWorth and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of or inability to use the Service;
  • Any reply or content posted to your Google Business Profile through or in connection with the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law, rule, or regulation;
  • Your violation of any third party’s rights, including but not limited to Google’s Terms of Service;
  • Any User Content you submit to the Service; or
  • Your negligence or willful misconduct.

ReplyWorth reserves the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of that matter at your expense.

23. Modifications to the Service and Terms

Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service or any Feature at any time, with or without notice. We will endeavor to provide advance notice of material changes. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Modifications to These Terms

We may revise these Terms at any time by posting an updated version at replyworth.com/terms. For material changes, we will provide at least 30 days’ notice by email to your registered address. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

24. Dispute Resolution and Arbitration

Informal Resolution First

Before initiating any formal proceeding, you agree to contact ReplyWorth at hello@replyworth.com and describe your dispute in reasonable detail. We will attempt to resolve the dispute informally within 30 days. If we are unable to reach a resolution, either party may proceed to binding arbitration as described below.

Binding Arbitration

EXCEPT AS PROVIDED BELOW, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR YOUR RELATIONSHIP WITH REPLYWORTH SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES, EXCEPT AS MODIFIED HEREIN. The arbitration shall be conducted in California or, at your option, by video conference or telephonically. The arbitrator shall have the authority to grant any relief available in court. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND REPLYWORTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions to Arbitration

Notwithstanding the above, either party may bring an individual claim in small claims court. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute by arbitration.

Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND REPLYWORTH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

25. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. For any dispute not subject to arbitration under Section 24, you and ReplyWorth consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles, CA.

26. Force Majeure

ReplyWorth shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government actions, internet or telecommunications failures, power outages, third-party service provider outages (including Google, Anthropic, Stripe, or Vercel), hacking or cyberattacks, or any other cause beyond our reasonable control. In such events, our obligations are suspended for the duration of the force majeure event.

27. Electronic Communications and Signatures

By using the Service, you consent to receive communications from us electronically, including emails, in-app notifications, and SMS (where opted in). 30. No Third-Party Beneficiaries

These Terms are for the sole benefit of you and ReplyWorth and do not create any third-party beneficiary rights in any other person or entity.
